These terms, and who they are for
These terms are the agreement between Chatify (“Chatify”, “we”, “us”) and the business that uses our service (“you”). By creating an account, connecting a messaging channel, or using Chatify, you accept them. If you signed a separate order form or service agreement with us, that document prevails wherever it differs from this page.
If you are a customer who messaged a business that uses Chatify, these terms are not your agreement — your relationship is with that business. Our Privacy Policy explains how information in those conversations is handled.
What Chatify does
Chatify is a shared inbox with an AI assistant. It receives your customers’ messages from channels you connect — such as WhatsApp, Instagram and Messenger — answers from knowledge you provide, hands a conversation to your team when it should, and helps you run everyday requests like bookings, trials and rentals. Which features are switched on for your account depends on what we have agreed and what your channels support. We improve the service over time, and features may change.
Your account and your team
You are responsible for keeping login credentials secure and for everything done through your account, including by the teammates you add. Give each person their own login, remove people who leave, and tell us promptly at support@chatify.sg if you believe an account has been accessed without permission. Accounts are for the business named on them and may not be shared with another business.
Connecting a messaging channel
When you connect a WhatsApp number, Instagram account or Facebook Page, you confirm you own it or are authorised to use it on the owner’s behalf. Those channels are operated by Meta and your use of them is also governed by Meta’s terms and messaging policies. Meta can restrict, rate-limit or suspend a number or account for reasons outside our control, and messages it rejects — for example one sent outside the window Meta allows — cannot be delivered by us.
Messaging your customers responsibly
- Message people who have contacted you or who have agreed to hear from you, and keep a record of that consent where the law requires it.
- Honour opt-outs promptly. A customer who replies STOP is unsubscribed from marketing messages automatically, and you should not re-add them.
- Do not use Chatify to send unlawful, misleading, harassing or deceptive messages, or content you have no right to send.
- Follow the rules that apply to you — in Singapore that includes the Personal Data Protection Act and its Do Not Call provisions, and elsewhere the equivalent local law.
AI-generated replies
The assistant drafts and sends replies automatically from the knowledge you give it. It is designed to answer only from that knowledge and to hand a conversation to a human rather than guess — but it can still be wrong, incomplete or poorly judged, and language models are not deterministic. You are responsible for the knowledge you load, for reviewing how the assistant is answering, and for what it sends on your behalf. Do not rely on it alone for advice or commitments that carry real consequences — pricing exceptions, medical, legal, financial or safety matters — and keep a human reachable through escalation. We do not warrant that any particular reply will be accurate or suitable.
Your content and your knowledge
Your conversations, contacts, documents and business knowledge remain yours. You grant us a limited, non-exclusive licence to host, process and transmit them for the purpose of running the service for you, including sending the relevant parts to the providers listed in our Privacy Policy. You confirm you have the right to upload what you upload, and that documents you add do not infringe anyone else’s rights.
Acceptable use
Do not attempt to access another business’s data, probe or interfere with the security of the service, overload it, reverse-engineer it, or resell access without our written agreement. We may suspend an account that puts the service, its other users, or a messaging channel at risk, and we will tell you why where we reasonably can.
Fees
Fees are those agreed with you in writing, charged in Singapore dollars and invoiced for each billing period. Charges relating to messaging and AI usage are as agreed with you; where a platform such as Meta charges for message delivery, those charges are billed to whoever holds the account with them. Invoices are due by the date stated on them, and we may suspend a materially overdue account after telling you first. Fees already paid are non-refundable except where the law requires otherwise.
Availability and support
We work to keep Chatify available and to respond quickly, but we do not guarantee uninterrupted or error-free service. Maintenance, and outages at the platforms we depend on — Meta, Google, our database and hosting providers — can interrupt it. Support is provided by reasonable efforts during Singapore business hours at support@chatify.sg.
Ending the agreement
Either of us may end this agreement by giving the other 30 days’ written notice. We may end it immediately if you use the service unlawfully, put its security at risk, or leave an invoice materially overdue. When it ends we stop the service, and you may ask us for an export of your conversations, contacts and knowledge before we delete or anonymise your data as described in our Privacy Policy. Anything either of us owes the other up to that point survives.
Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only to run or receive the service, except where disclosure is required by law. This does not restrict information that is already public or that either of us developed independently.
Liability
To the extent the law allows, Chatify is provided “as is”, and we exclude implied warranties. Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of or in connection with this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded — including for fraud, or for death or personal injury caused by negligence.
Indemnity
You will indemnify us against claims, losses and reasonable costs arising from the messages sent through your account, the content and knowledge you supply, or your breach of these terms — except to the extent they result from our own breach or negligence.
Changes to these terms
We may update these terms as the service develops. We will revise the “Last updated” date above, and we will tell account owners in advance of a material change. Continuing to use Chatify after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising from them.
